Does a Virtual Office Qualify for FINTRAC Registration?

Reviewed by MSB Desk Regulatory ResearchUpdated September 3, 20263 official sources

A Canadian registered office can satisfy a corporate requirement, but it does not automatically establish that the company has a genuine place of business in Canada for the FINTRAC route.

The registration category should reflect where the business is actually managed, where services or compliance functions are carried out, and where systems and records are maintained.

The right answer is therefore not a generic yes or no. It is a documented MSB-versus-FMSB assessment based on the complete operating model.

Separate the address functions

A company can use different locations for corporate registration, correspondence and operating activity. Record what each address is used for instead of presenting them as interchangeable.

A mail-forwarding address alone should not be described as operational substance. The application should identify the people, functions, systems and records connected to any claimed Canadian place of business.

  • Corporate registered office
  • Mailing and regulatory correspondence
  • Management and compliance activity
  • Systems and business records
  • Customer-facing or transaction activity

Document the real operating facts

Map where management decisions are made, who performs compliance work, how staff access systems and where required records can be produced. Contracts, job responsibilities and record arrangements should support the description used in the registration file.

If a third-party office or service provider performs real business or compliance work, describe that work precisely. Do not rely on a service agreement that only provides an address.

  • Named responsible people
  • Actual functions performed
  • System and record access
  • Service-provider scope
  • Evidence retained for the file

Consider the FMSB route

A business outside Canada that has no place of business in Canada but directs covered services at Canadian clients may need to assess the foreign money services business route.

Creating a Canadian corporation does not by itself decide the category. The entity, customer contracts, marketing, management and service delivery should all point to the same factual model.

  • Place-of-business assessment
  • Services directed at Canada
  • Canadian client connections
  • Representative for service
  • Consistent company and website claims

How MSB Desk coordinates the presence work

MSB Desk assesses the required Canadian presence as part of the wider project and coordinates an appropriate registered-office, compliance and operating arrangement where the facts support it.

The result is not a promise that one address will satisfy every case. It is a documented route decision connected to the registration, compliance programme and launch plan.

  • MSB or FMSB route memo
  • Address-function schedule
  • Operating-responsibility map
  • Registration-file alignment
  • Ongoing update process
