How Canadian MSB Registration Works

A business that offers covered money services from a place of business in Canada generally needs to register with FINTRAC before it begins operating. Registration is one part of the setup: the company, services, owners, locations and compliance controls must describe the same real business.

This guide explains the practical sequence for a Canadian MSB. It is written for founders who need to understand what FINTRAC asks for, what must be prepared before submission and what continues after registration.

The process is easier to manage when commercial decisions are made before regulatory descriptions are drafted. Founders should expect to supply evidence, explain how the service works and maintain the resulting obligations after the initial registration. A well-organized file also makes later clarification, updates and renewal more straightforward.

Who needs to register as a Canadian MSB

A Canadian MSB is a person or entity with a place of business in Canada that provides at least one service covered by the Proceeds of Crime (Money Laundering) and Terrorist Financing Act. The facts of the operating model matter more than the label used in a pitch deck or company name.

A business should map who provides each service, where decisions are made, how customers access it and how funds or virtual currency move. Payment, custody or securities activities can bring separate rules, so they should be screened rather than assumed to fit inside the MSB registration.

Prepare the business model before the form

The pre-registration information should still be treated carefully. It establishes the identity of the applicant and starts the regulatory record. Use accurate legal names and current contact details, and make sure the person communicating with FINTRAC is authorized to do so.

Information and documents FINTRAC requests

The registration form asks for the Canadian bank account, compliance officer, employees, incorporation details, owners and management, annual transaction values, business locations and agents or mandataries. The exact information depends on the applicant and the services selected.

FINTRAC also requires corporate governance records and specified criminal record checks. Checks generally cover the chief executive or president, directors and people who own or control 20 per cent or more of the entity. They must meet FINTRAC’s recency and language requirements, so ordering them too early or in the wrong format can cause avoidable rework.

FINTRAC may ask questions or request clarification. A useful response answers the question directly, explains any changed fact and updates affected documents together. A new service, owner or location should not be corrected in isolation if it changes the risk assessment or operating procedures.

Registration result and continuing obligations

After review, FINTRAC can issue a registration notice and number, ask for clarification, or deny or revoke registration where legal requirements are not met. The registration notice and number become part of the business records, while the operational team begins its reporting, record-keeping, training and monitoring routines.

The obligations continue after registration. The MSB must maintain its compliance program, identify clients when required, keep records, submit prescribed reports, update registration information and renew on schedule. Material business changes should trigger a review of the registration details, risk assessment, policies, training and monitoring controls.
